These terms govern your use of the SimplISO platform and associated consultancy services provided by JistQA Limited. Please read them before registering.
In these terms, the following words have the specific meanings set out below.

| You / Client | The business or individual who registers to use the SimplISO platform and associated services. |
| SimplISO | The web-based integrated management system platform available at app.simpliso.uk (or your assigned subdomain), together with the consultancy services provided by JistQA Limited. |
| Platform | The SimplISO software application, hosted by Machine Networks, accessible via your assigned subdomain (e.g. yourcompany.simpliso.uk). |
| Services | The combination of platform access, consultant support, internal audit services and ongoing compliance monitoring provided under your subscription plan. |
| Subscription | Your monthly recurring card payment plan as agreed at the point of registration, covering access to the Platform and Services, processed via Stripe. |
| Agreement | These terms and conditions together with any order confirmation, pricing schedule or written agreement between us and you. |
| CB | Certification body. The independent organisation that conducts your ISO certification audits. Not JistQA Limited. |
JistQA Limited is a private limited company incorporated in England and Wales (company number 16450279), with its registered office at 369 Grimshaw Lane, Middleton, Manchester, England, M24 1GQ.
SimplISO is a trading product of JistQA Limited. JistQA Limited provides ISO management system consultancy services. The consultancy support provided as part of your subscription is delivered by qualified ISO consultants and does not constitute legal advice.
Your subscription to SimplISO gives you access to the following, depending on your plan:
The platform is hosted by Machine Networks on infrastructure based in the United Kingdom. We aim to maintain 99% platform availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible.
Your subscription fee is charged monthly by recurring card payment, processed via Stripe. By registering and entering your payment details, you authorise JistQA Limited to collect your monthly subscription fee automatically on or around the same date each month.
Your monthly fee is set out in your order confirmation and is based on the number of ISO standards included in your subscription plan. Current pricing is published at simpliso.uk.
The internal audit fee is a separate fixed charge invoiced ahead of your scheduled internal audit. This fee is agreed at the point of onboarding and is in addition to your monthly subscription. The internal audit invoice is payable within 14 days of issue.
All fees are quoted exclusive of VAT. VAT will be added at the prevailing rate where applicable. JistQA Limited will issue a VAT receipt or invoice monthly on request.
We reserve the right to increase subscription fees on giving you not less than 60 days written notice. Any increase will not take effect during a minimum contract term without your agreement, except where required by law.
JistQA Limited is offering a 25% reduction on the standard monthly subscription fee to the first 30 clients who register during the SimplISO launch year (the Early Bird Offer).
Registering your interest on the SimplISO website does not in itself constitute acceptance of the Early Bird Offer. The offer is confirmed in your written order confirmation from JistQA Limited.
Your subscription is subject to a minimum term of 12 months from the date your subscription commences (the Minimum Term). You may not cancel your subscription during the Minimum Term except as set out below.
After the Minimum Term your subscription will continue on a rolling monthly basis until cancelled by either party on not less than 30 days written notice.
JistQA Limited may terminate your subscription immediately on written notice if:
On termination we will provide you with a copy of your data in a standard format within 30 days. After that period we reserve the right to delete your data from the platform.
We will assign you a unique subdomain in the format yourcompany.simpliso.uk. You are responsible for maintaining the security of your login credentials. You must not share your login credentials with anyone outside your business.
You may grant access to staff members within your business. You are responsible for ensuring that all users within your organisation comply with these terms.
We reserve the right to suspend or restrict platform access in the following circumstances:
Suspension for non-payment does not constitute termination of the agreement and your minimum term obligations continue to apply.
You retain ownership of all data, documents and records that you upload to the SimplISO platform (Your Data). JistQA Limited does not claim any ownership rights over Your Data.
By using the platform you grant JistQA Limited a limited licence to access, store and process Your Data for the purpose of providing the Services to you. We will not share Your Data with any third party except:
Your Data is stored on UK-based infrastructure operated by Machine Networks. We implement reasonable technical and organisational measures to protect Your Data against unauthorised access, loss or destruction. However we cannot guarantee absolute security and you should maintain your own backups of critical documents.
JistQA Limited processes personal data in accordance with its Privacy Policy, available at simpliso.uk/privacy. By using the platform you confirm that you have the authority to provide any personal data relating to third parties (such as your staff) and that doing so complies with your own obligations under UK GDPR and the Data Protection Act 2018.
The SimplISO platform, including all software, templates, forms, workflows, documentation frameworks and training materials, is the intellectual property of JistQA Limited. All rights are reserved.
Your subscription gives you a non-exclusive, non-transferable licence to use the platform and its templates for the purpose of managing your own ISO management system during the term of your subscription. This licence does not permit you to:
Documents and records that you create within the platform using our templates remain your property. However the underlying template structure, logic and framework remain the intellectual property of JistQA Limited.
Our role is to prepare your management system to a standard that gives you the best possible chance of passing your certification audit. The readiness percentages shown on the platform dashboard are indicative only and are based on the evidence you have uploaded and the tasks you have completed. They do not constitute a guarantee of audit success.
If your certification audit is unsuccessful, JistQA Limited will work with you to address any non-conformities raised by the certification body. Additional consultancy time required beyond your normal subscription scope may be chargeable at our standard day rate, which will be agreed with you in advance.
Certification body fees, audit fees and any re-audit fees are payable directly to the certification body and are not the responsibility of JistQA Limited.
Nothing in these terms limits or excludes JistQA Limited's liability for:
JistQA Limited shall not be liable to you for any of the following, whether direct or indirect:
The platform is provided as a tool to support your ISO management system. You remain responsible for the accuracy, completeness and compliance of your management system and the decisions you make on the basis of information contained in the platform.
JistQA Limited shall not be liable for any failure or delay in performing its obligations caused by circumstances beyond its reasonable control, including but not limited to power failures, internet outages, acts of God or third-party service provider failures.
Each party agrees to keep confidential all information received from the other party that is marked as confidential or that a reasonable person would consider to be confidential, including business processes, pricing, client data and technical information.
This obligation does not apply to information that:
JistQA Limited's consultants may use anonymised, non-identifiable information from client engagements for the purpose of improving the SimplISO platform and its templates. No identifiable client data will be used for this purpose without your explicit consent.
JistQA Limited reserves the right to update these terms and conditions from time to time. Where changes are material we will give you not less than 30 days written notice before the changes take effect.
If you do not agree to the updated terms you may terminate your subscription by giving 30 days written notice, provided your minimum contract term has expired. Continued use of the platform after the effective date of any changes constitutes your acceptance of the updated terms.

These terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the law of England and Wales.
In the event of a dispute we will always attempt to resolve matters informally in the first instance. Please contact us at steve@jistqa.uk and we will respond within 5 business days.
If a dispute cannot be resolved informally, both parties agree to attempt mediation before commencing legal proceedings. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute that cannot be resolved by mediation.
